UpsideLive users are invited to take advantage of the following services that drive the concept of “doing more for less” – by offering the ability to bring order and administration to volumes of contracts and other documents at a vastly reduced cost. Services are provided by our alliance partner, UnitedLex, the leader in contracts consulting, analytic and outsourcing solutions. Level I – Services that are highly relevant to the organization of your contract data and that maximize the initial use of your UpsideLive contracting environment:

A. Contract abstraction / data entry
Your contract data is summarized and/or uploaded into the desired data repository. Software tools and, when necessary, trained paralegals and lawyers provide for the review and summary of your data to maximize the value and usability of the information.

B. Template cleansing
UnitedLex lawyers review the complete range of your contract templates and provide best practice supplemental and/or alternative clauses to drive consistency and efficiency – and maintain alignment with company risk and business development objectives.

C. Template population (providing best of breed forms)
Best practice standard contract templates are provided to address the fundamental business contracting needs of your company. The standard templates may be downloaded from the UpsideLive environment and may be used “out of the box” or customized to address specific company needs.

D. Risk review/compliance/conformance
UnitedLex lawyers review small to large volumes of contracts according to defined business and legal rules, noting conformance to risk and other business parameters. Deviations are noted and summarized, and follow up action is taken based on corporate objectives.

Level II – Services that are highly relevant to UpsideLive users in the day-to-day aspects of their businesses:

E. First draft contract creation based on basic terms (using agreed upon templates)
UnitedLex contract professionals work on your behalf to prepare first draft contracts – adding bandwidth and capability to your team - within approved corporate guidelines. Drafts are created based upon system templates and carefully designed checklists. Company attorney involvement occurs only when internal or external users request terms outside of the defined parameters.

F. Individual contract administration - coordinating the cycle until signing
UnitedLex contract professionals help manage your contract lifecycle through signing – by understanding the key steps within your contract process and ensuring proper terms and approval are obtained before presentment for signature – freeing up internal resources to focus on more value-added tasks.

G. Negotiation (based on defined, limited parameters)
UnitedLex contract professionals interact with your business partners and customers to drive contracts to completion. All actions occur within defined ranges of risk and business objectives. Your company legal team members review and approve for final signature – after all the administrative aspects have been completed.

H. Change control & admin
UnitedLex contract professionals manage most post signing administrative functions, including amendments, assignments and renewal notification and resolution. Most companies do not address these areas in a complete, consistent and systematic fashion – leading to discrepancies and loss of opportunity.

I. Contract perfection (ensure all elements are present/complete) and upload

L. Termination and close out
UnitedLex contract professionals review and monitor agreements about to expire or that have expired and ensure the proper resolution and execution of close out steps – including the return of confidential information or materials and that final payments are received as applicable.
